THIS IS A MUST-READ DOCUMENT THAT CONTAINS IMPORTANT CLAUSES RELATED TO YOUR RIGHTS AND OBLIGATIONS. BY USING THE WEBSITE ACCESSIBLE AT THE ADDRESSES info@sazontfk.com . Guests will be entitled to a full refund of the Host’s charges if (a) the Guest notifies SAZÓN and the Host of the cancellation during normal business hours in Grenada (being from 10 am to 6 pm on weekdays that are not public holidays) prior to the cancellation deadline for the relevant Host Event, or (b) if the Host cancels the Host Event for any reason.

8.2 We expect all Guests to enjoy each Organized Event. However, sometimes things go wrong and if a Guest believes that the Host has not fulfilled an essential obligation of the Organized Event, in that case, the Guest may, up to midnight on the day following the date on which the Organized Event in question was scheduled, request a refund of all or part of the payment by sending an email to info@sazontfk.com specifying the Organized Event reference, identifying the Host, specifying the amount and stating the amount the Guest wishes to be refunded and giving as much information as possible regarding the relevant problem/faults/reasons why he/she believes the payment should be refunded.

8.3 If you have a dispute relating to an organized event, we encourage (but do not require) you to contact our complaints service to try to resolve the dispute amicably. You may contact our complaints service:

By mail to SAZÓN ONLINE, S.L., (hereinafter “SAZÓN”) a company incorporated under Spanish law, with registered office in Granada, Calle Recogidas number 27, 6th Floor, C.P. 18.005.

8.4 It is important that if, as a Guest, you are dissatisfied with an Organized Event, you notify SAZON by midnight on the day following the date on which the Organized Event in question was scheduled to take place. Once SAZÓN has released funds to the Host, it cannot offer Guests any remedy.

8.5 Upon receipt of a refund request, SAZÓN may direct that a transfer be made to the Guest up to the full value of the transaction fees paid (less transfer costs and SAZÓN’s commission). However, if SAZÓN considers the complaint to be without merit or is unable to assess the merits of the complaint, then SAZÓN may order that all or part of the transaction fees be paid to the host and/or that the balance (if any) be withheld until the dispute between the host and the Guest is resolved. If no such resolution is reached within six months, SAZON may direct that 50% of the disputed element of the host’s charges be paid to the host and 50% of the disputed element of the host’s charges be paid to the Guest (and SAZON’s fees shall be paid to SAZON). SAZON shall have no further liability to the Host and the Guest with respect to any claim for reimbursement. You agree to abide by the decisions made by SAZÓN (even if the decision appears to you to be incorrect).

8.6 SAZON undertakes to make a reasonable effort to assess the merits of claims and act in good faith with Guests and Hosts, however, you agree that SAZON has no liability to you for any assessment it makes in relation to the merits of any claims between Guests and Hosts or any direction it gives as to payments to be made to Guests or Hosts pursuant to this clause 8 and you further agree that SAZON may make or refuse refunds and payments pursuant to these “TAC” and that if and to the extent it does so, it shall have no further liability or obligation to you, the Host or Guest.

8.7 SAZÓN will endeavor to make refunds to Guests through the same means of payment with which the payment was originally made. In the event that such a refund is not possible, further verification will be required before the refund can be processed. The Guest agrees to bear the cost of transfers.

8.8 By agreeing to these terms and conditions, you agree that, if SAZON has followed the above processes in good faith, it will have no further liability or obligation to you.

8.9 SAZON has no liability in respect of any failure of a payment processor or authorized agent.

9 Exclusions and Limitations of SAZÓN’s Liability

9.1 The SAZÓN platform serves as a trusted intermediary between Hosts and Guests (information services), and is maintained through the service fee included in each Guest and Host reservation. In the event that a Host or Guest offers payment alternatives outside of the platform, SAZÓN reserves the rights to claim any damages that this may cause and reserves the right to deactivate the Host’s SAZÓN account.

9.2 You agree that by posting or accepting a SAZÓN Invitation you do not create any contractual relationship with SAZÓN, except as expressly provided in these Terms and Conditions. SAZÓN does not control, nor does it have the right to control the SAZÓN Invitation, your offline activities associated with your SAZÓN Invitation, or any other matters related to any SAZÓN Invitation you post.

9.3 Registered users are bound by these Terms and Conditions to provide accurate information about themselves and to post only reliable and accurate content on SAZÓN websites and not to make, when using SAZÓN websites or SAZÓN services, incorrect, fraudulent or misleading statements or representations. By agreeing to these terms and conditions, you agree that SAZÓN, its payment providers and/or other partners may ask you to verify your identity and may use other available information or resources to verify your identity, to conduct regulatory checks and to help limit misuse of SAZÓN websites, SAZÓN services and other services provided by payment providers. However, SAZÓN assumes no obligation to the user to perform such checks and the user agrees that SAZÓN does not represent, endorse, warrant or confirm the identity of any user or the accuracy of any content made by a user or otherwise received from any of SAZÓN’s websites or SAZÓN’s services.

9.4 To the extent permitted by law, SAZÓN excludes all conditions, warranties, representations or other terms which may apply to SAZÓN websites and SAZÓN services or any content thereon, whether express or implied. SAZÓN shall not be liable to any user for any loss or damage, including negligence, breach of statutory duty, or otherwise, even if foreseeable, arising in connection with:

9.4.1 The use of or inability to use any of SAZÓN’s websites or SAZÓN’s services; 

9.4.2 Use of or reliance on any content displayed on any of SAZON’s websites or services.

9.5 Notwithstanding the provisions of clause 8.3, SAZON shall not be liable for: 9.5.1 Loss of profits, sales, business or revenue;

9.5.2 Business interruption;

9.5.3 Loss of anticipated savings;

9.5.4 Loss of business opportunities, goodwill or reputation; or

9.5.5 Any consequential loss or damage.

9.6 SAZON will not be liable for any loss or damage caused by a virus, computer attack or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our website or to your downloading of any content on it, or on any website linked to it.

9.7 By using the SAZÓN Websites and SAZÓN Services, you agree that (subject to clause 8.3) any legal remedy or liability you seek to obtain for acts or omissions of other users of the SAZÓN Websites and SAZÓN Services or other third parties will be limited to a claim against the third party who caused you damage.

9.8 You agree that, to the extent permitted by law, SAZON has no liability to you in respect of any general or specific failure, suspension or interruption of the services offered by any of the SAZON Websites or error or omission in the information or processing provided on or by the SAZON Websites or loss of information provided to the SAZON Websites.

9.9 Except to the extent that liability cannot be excluded by law:

9.9.1 SAZON has no liability except as admitted by clauses 9.7, 9.9.2 and 9.9.3;

9.9.2 SAZON’s liability to the Host is limited to the amount charged by SAZON as agent for the Host in connection with the Organized Event to which the relevant claim relates and which has not been paid to the Host (or, as the case may be, reimbursed to the Guest) in accordance with these Terms and Conditions; and

9.9.3 SAZÓN’s liability to the Guest is limited to the commission paid by the Guest in connection with the Organized Event to which the relevant claim relates.

9.10 You agree and confirm that if you choose to use any of the SAZÓN websites or SAZÓN services to enter into an agreement with another person (whether as a guest or host) you must enter into an agreement with that other person (such agreement may be or include the terms and conditions on which SAZÓN’s invitation is offered and accepted). You acknowledge and agree that you, and not SAZON, are responsible for ensuring that each party to such agreement complies with the terms of this agreement and satisfies any obligations it has to you. By agreeing to this TAC you also agree that SAZON is not a party to any agreement between you and any other person whether as Guests, Hosts, or in any other capacity and that except to the extent SAZON agrees and subject to this TAC. SAZON has no liability to you or any other person arising out of or relating to any agreement between Guests and Hosts.

9.11 Subject to the provisions of clause 9, the user agrees that no member of SAZÓN, its directors, employees, agents or other representatives is liable to the user for any damages, whether direct or indirect, resulting from the use of SAZÓN websites or SAZÓN services, even if SAZÓN is aware or has been informed of the likelihood of such damages.

10 Cancellation and suspension

10.1 You can cancel your registration at any time by sending us an e-mail from your registered e-mail address to info@sazontfk.com. 

10.2 SAZON may terminate or suspend your registration for convenience at any time by notifying you by email to your registered email address.

10.3 If your registration with SAZON is cancelled, all dining experiences for which you have issued a SAZON invitation will be automatically cancelled and all dining experiences for which you have accepted a SAZON invitation will also be automatically cancelled.

  1. Various

11.1 You represent and warrant to SAZÓN that you are a person over 18 years of age and / or with legal capacity to contract.

11.2 Some parts of the SAZON platform implement Google Maps/Earth mapping services, including the Google Maps API(s). Use of Google Maps/Earth is subject to Google’s terms of use.

11.3. If you become aware of any content on any of SAZON’s websites that you suspect has been posted in breach of these TAC, please notify us by email to info@sazontfk.com , it will be helpful if you are able to include (a) details of the content in question, (b) information that will enable us to locate the content in question on SAZON’s website, (c) your contact information (full name, postal address, telephone number, e-mail address and, where applicable, the name of the body on whose behalf you are contacting us, your postal address and your registration number), (d) a statement, where applicable, that you are the owner of the intellectual property rights or rights in an image or the person concerned or are authorized to act on behalf of the owner.

11.4 You acknowledge and agree that SAZÓN may store personal and other information about you on your electronic devices in the form of “cookies” and other programs and devices. The use of these relates solely to the operation of the SAZÓN website. You acknowledge and agree that, if you do not allow or restrict the placement of cookies on your devices, this prohibition or restriction may have an adverse effect on your use of SAZÓN’s websites. You acknowledge and agree that SAZÓN may also store your personal information on computers and servers in Europe and beyond. By using SAZÓN websites, you acknowledge and agree that SAZÓN may, in its sole discretion, store or disclose this information if required to do so by law or if there are compelling reasons to believe that such storage or disclosure is necessary to comply with legal process.

11.7 Reference in these “TAC” a:

11.7.1 The term “person” or “corporation” includes a reference to all legal or natural persons, partnerships, associations, communities of property, companies, governments or departments of local authorities and other bodies and associations;

11.7.2 An individual includes, where appropriate, his or her personal representatives;

11.7.3 The singular includes a reference to the plural and vice versa; and

11.7.4 A gender includes each gender (feminine, masculine and neuter).

11.8 References to SAZON in the context of obligations or liabilities to SAZON or other benefits or guarantees given to SAZON shall also be deemed to include reference to any company which is an affiliated company of SAZON.

11.9 SAZÓN’s failure to exercise or delay in exercising any right or remedy under these Terms and Conditions shall not be construed as a waiver of such right or remedy, nor shall any single or partial exercise of any right or remedy preclude any subsequent exercise of such right or remedy. No waiver by SAZON of any breach of these Terms and Conditions shall be deemed a waiver of any preceding or subsequent breach. The rights and remedies provided in these General Conditions are cumulative and do not exclude any right or remedy provided by law.

11.10 These T&C and the documents referred to in these T&C (as updated from time to time) constitute the entire agreement between you and SAZÓN governing our relationship and supersede all other agreements between you and SAZÓN prior to the date of these T&C, which shall cease to have effect.

11.11 If any provision of these terms and conditions is held to be unlawful or unenforceable, in whole or in part, under any law or rule of law, it shall be deemed not to form part of these terms and conditions and the enforceability of the remainder of these terms and conditions shall not be affected.

11.12 SAZÓN may communicate with you by sending an email to your registered email address. It need only adduce proof that the email was sent, and is not responsible for ensuring that you receive it.

11.13 SAZÓN may enforce these TAC as a contractual document or appoint or designate a third party to enforce them.

11.14 These TAC shall be governed by and construed in accordance with Spanish law and SAZÓN and you agree to submit any dispute, including disputes relating to any non-contractual obligations, which may arise out of, under, or in connection with this agreement to the exclusive jurisdiction of the courts of Madrid Capital.

  • THE TERMS AND CONDITIONS PUBLISHED BY SAZÓN ONLINE, S.L., ON ITS WEBSITES AT sazonthefolkcook.com and its SUBDOMINIONS, and ON SAZÓN’S MOBILE APP.

THE TERMS AND CONDITIONS ARE COLLECTIVELY REFERRED TO AS THE MASTER AGREEMENT. WE ADVISE YOU TO PRINT A COPY OF THE MASTER AGREEMENT FOR YOUR RECORDS.

  1. Binding power of this document and the Framework Agreement

SAZÓN ONLINE, S.L., (hereinafter “SAZÓN”) a company incorporated under Spanish law, with registered office in Granada, Calle Recogidas number 27, 6th Floor, C.P. 18.005, with CIF number B-67847681, and constituted by public deed granted before the Notary of Granada D. Gonzalo López Escribano on December 2, 2021, with the number 2756 of his protocol, and registered in the Mercantile Registry nº4 of Granada, in Volume 1.783, Folio 25, Page GR-57308, Inscription 1 on December 17, 2021.

SAZÓN is a collaborative platform that provides an online platform that connects hosts, who want to offer gastronomic experiences, to guests who seek immersion in the gastronomic culture of the city they are visiting or any user who wants to enjoy the gastronomic experience that the Host offers (hereinafter, the “Experiences”).

SAZÓN’s services are offered through its websites www.sazonthefolkcook.com its SUBDOMAGES and SAZÓN’s MOBILE APP, (hereinafter, the “Platform”).

SAZÓN, as a collaborative platform, does not participate in the contractual link that may be established between hosts and guests, limiting its activity to intermediation services between them.

SAZÓN in order to try to improve the experience between hosts and guests, will provide a series of recommendations, which do not imply any legal obligation with respect to the experience offered by the Host, these recommendations are not mandatory for the Host, but they will help the experience.

The Host must accept the box at the end of these terms and conditions to demonstrate acceptance of these terms and conditions:

– You agree to be bound by these terms and conditions which constitute a contract between you and SAZON (hereinafter referred to as the “Host Terms”);

– You agree to be bound by the terms and conditions of the STRIPE CONNECT payment platform, prepared by STRIPE CONNECT, AND which constitute a contract between you and STRIPE CONNECT (“STRIPE Terms and Conditions”).

– You agree to the terms and conditions published by SAZÓN on its websites at www.sazonthefolkcook.com and its SUBDOMAINS, and ON THE SAZÓN MOBILE APP, (hereinafter, Terms and Conditions of the Platform).

Stripe Connected Account Agreement. Master Agreement. Terms and Conditions

The Platform Terms and Conditions and the Host Terms and Conditions form a contractual whole by which the User is bound to use the SAZÓN website as a Host.

In case of contradiction between a clause of the Platform Terms and Conditions and a clause of the Host Terms and Conditions, the clause of the Host Terms and Conditions shall prevail.

If you do not agree to be bound by the Host Terms, you may not use the SAZÓN website as a Host.

  1. Objective of the Host Conditions

The Host Charter is intended to regulate more specifically your rights and obligations should you decide to use the “Brokerage Service” (as the term is defined in the Platform Terms and Conditions, hereinafter “TYC”) as a Host.

  1. Possession of a user account

To become a Host, you must first create a “User Account” (as that term is defined in the “TAC”) and complete it by providing, at a minimum, the following mandatory information:

– Your date of birth.

– Your gender.

– Your exact mailing address.

– A profile picture that represents you. – Your nationality.

– Languages spoken.

The creation of a User Account automatically includes the creation of an “Account” with the STRIPE CONNECT payment platform as set forth in the STRIPE Terms and Conditions.

We advise you to read the STRIPE CONNECT Master Agreement and Terms and Conditions for more information on this topic.

You agree to provide a profile picture that represents you to the exclusion of any other person. By uploading such photograph, you warrant to SAZÓN that it does not infringe any intellectual property rights belonging to a third party and that you expressly authorize SAZÓN to use your image, granting a license to use under the conditions set forth in the “TAC”.

The Host undertakes to provide complete, accurate and truthful information and to keep it permanently updated.

  1. Definition of your SAZÓN invitations

It is your responsibility as Host to accurately define your SAZON invitations (as defined in the “TYC”).

Your SAZÓN invitation will be validated on the SAZÓN website as soon as the following mandatory information regarding your SAZÓN invitation has been provided:

– The date and the start and end times of the SAZON Invitation. – The mailing address of the chosen location.

– The format of the meal; the structure of the menu; the approximate duration of the hosting period.

– One or more photographs of the types of dishes you are likely to offer; a photograph of the location chosen for the SAZÓN invitation.

– The probability of the presence of animals.

– The maximum number of Guests you offer to invite.

  – The amount to be paid for each Guest, our commission will be added to this amount, including taxes.

We advise you to consult the “TAC” for more details on the calculation of our brokerage commission and the payment methods used.

SAZÓN performs a basic consistency check of the information provided before it is validated and published on the SAZÓN website.

  1. Your obligations as a Host

5.1. Principles of openness, respect, tolerance and non-discrimination

The “Intermediation Service” (as the term is defined in the “TAC”) is designed to facilitate your meeting with a person or persons from different cultures during a meal that you provide.

Through this service, you will host one or more “Guests” (as the term is defined in the “TYC”) in your home. By definition, these guests may have different cultural behaviors, and organizing the experience assumes these differences.

You agree to respect your Guests and their cultures, agreeing not to treat them in a discriminatory manner.

5.2. Your obligation in experience

The most important part of being a Host is being hospitable.

You agree to receive Guests in a property or premises (hereinafter Premises or Premises) that you are legally entitled to use, either as owner or tenant.

You undertake that the Premises in which you will receive your Guests are large enough to accommodate all the Guests and that they meet the minimum level of security and habitability required by law.

In particular, the host must ensure the physical safety of its guests during their stay on the premises.

5.3. The gastronomic experience

You undertake to be as clear as possible, both about the content of your meals and, in particular, to describe them truthfully and in detail, indicating precisely all the food and beverages used, if so requested by the Guest.

You agree to abide by any dietary restrictions of which you have been informed by your Guests.

You are committed to providing your guests with healthy and wholesome food and beverages.

In particular, you ensure the physical safety of your guests in relation to the food and drink provided, being responsible for the products, their preservation and the cooking methods used.

You agree to participate in the dining experience offered.

5.4. Completion of your time as Host and of the invitation and meal

In no case should the invitation and dining experience last more than three hours.

We automatically and without discrimination reject any SAZÓN Invitation with an estimated duration of more than four hours.

Respect for your neighbors and other members of your household 5.5.

You agree not to offer SAZÓN invitations that are contrary to any regulations governing your home or lease.

You agree to respect your neighbors and not to behave in such a way as to cause any nuisance, in particular noise, suffered by your neighbors due to an invitation from SAZON.

5.6. Respect for the contract between you and the Guest

The publication on SAZÓN’s website of an invitation from SAZÓN constitutes a pre-contractual offer.

In case you accept a user as a guest, your pre-contractual offer becomes a contractual offer.

In case of acceptance of your contractual offer before the date of the offered SAZON Invitation (the “Deadline”), a contract will be deemed to have been concluded between you and the Host (hereinafter referred to as the “Guest-Host Contract”). If you do not accept your contractual offer before the Deadline, it will be automatically cancelled.

The issued contractual offer will be void in the event that this invitee has not accepted its offer before the date of SAZON’s invitation proposal (the “Deadline”). In such cases he will not receive any payment or compensation.

If one or more Guests accept your offer of a SAZÓN Invitation, a contract will have been formed between you and the Guests who have accepted your offer of a SAZÓN Invitation before this Deadline (hereinafter referred to as the “Guest-Host Contract”). After the expiration of this Deadline, no other Invitee may accept your SAZÓN Invitation.

In any case, the offer made by the Host will be closed early as soon as the number of Guests who have accepted their SAZÓN Invitation is equal to its established maximum.

The hosting contract is between you and your guests, to the exclusion of SAZÓN.

The terms and conditions of this Guest-Host Agreement are constituted by the terms and conditions defined in your SAZÓN Invitation, as well as, if applicable, the terms of any agreements you have made during direct exchanges with your Guests, regardless of whether these agreements were made through the SAZÓN website or not.

You agree to abide by the terms and conditions of this Guest-Host Agreement.

In the event of a dispute between you and one or more of your Guests due to a breach of your contractual obligations by one of these parties, SAZÓN shall in no event be liable.

In the unlikely event that SAZÓN’s liability is challenged by one or more of your Guests due to a breach by you of your obligations under the Guest-Host Agreement, you agree to indemnify SAZÓN for any damages you may suffer as a result (damage to the company’s image, financial loss, etc.).

The dispute resolution procedure between Guests and Hosts is defined in the “TAC”, being SAZÓN a mere intermediary, without having the capacity to decide on the resolution, which must be adopted between the Guest and the Host or any independent dispute resolution body.

5.7. Respect the regulations that apply to it.

We advise you to familiarize yourself with the regulations, whether tax, administrative or of any other nature, that may apply to you.

You agree to respect, where applicable, the regulations governing the premises in which a SAZÓN invitation takes place.

You agree not to propose, offer or serve alcoholic beverages during a SAZÓN invitation, except in accordance with current regulations. Alcohol abuse poses a health risk. Licensed premises are subject to particular regulation and non-compliance is subject to criminal penalties.

You agree not to obtain professional income from a SAZÓN invitation. If you do so, you undertake as a professional cook to respect the regulations and taxes applicable to your activity.

You agree not to organize SAZÓN Invitations in a professional manner. If you do so, you undertake, as a professional chef, to respect the tax and other specific regulations related to your usual business activity is subject to tax and other specific regulations.

He also agrees:

– Welcome guests only in your own home.

– If applicable, to obey the community rules governing the premises where the SAZÓN Invitation is held.

– Do not accept visits from uninvited third parties during a SAZÓN invitation.

– Not to offer several menus during a meal invitation and, in particular, not to offer a menu, but a single gastronomic experience, without prejudice to the respect of the different diets or intolerances communicated by the Guest.

– Respect the rules of hygiene and cleanliness related to the premises, food and beverages offered during a SAZÓN invitation.

– Do not offer accommodation to your guests as part of a SAZON invitation.

5.8 Presence of the Host at the event

You, as the Host listed on the SAZON platform, must be present at the event. If you are unable to attend for any reason, you must notify the guests and give them the option to cancel the reservation regardless of the cancellation policy.

5.9 Contracting and payments outside the SAZÓN platform

You agree not to pass on any commission or turnover to users / Guests or offer offers, discounts or cash for hiring outside the SAZÓN platform.

  1. Liability – Insurance

In no event will we be liable in the event that you do not respect the above obligations. You agree that any claim by your Guests shall be your own personal responsibility and you guarantee SAZÓN’s indemnity against any claim by your Guests.

You warrant that you have adequate liability insurance to cover these risks and with express third party liability coverage. You further undertake to provide us with a complete copy within eight (8) days of any request by us.

The SAZON platform serves as a trusted intermediary between Hosts and Guests and is maintained through the service fee included in each Guest’s reservation.

  1. Risks related to the fact of being a Host

You acknowledge and accept that being a Host entails certain risks and in particular, without this list being exhaustive, the risk that one of your Guests may cause damage to your premises or property; the risk that one of your Guests may become ill and infect you or the other Guests; the risk that one of your Guests may disclose and/or use the personal information you have communicated to you, for purposes other than those of the SAZÓN Invitation.

SAZÓN will not be responsible in any case for the damages and behavior of the Guests.

  1. Intellectual property: image rights

You agree that any photograph you choose to post on the SAZON website must not depict any identifiable person other than yourself.

The user agrees not to publish on the SAZÓN website any photographs that he/she has not personally taken.

You warrant to us that you are the owner of all intellectual property rights in the content that you choose to publish and/or transfer through the SAZÓN website and that this content is not “illegal content” (as defined in the “TAC”).

You guarantee SAZÓN’s indemnity against any action by Guests or third parties caused by your failure to comply with this undertaking.

We remind you that this content, known as “User Content” (as that term is defined in the TAC), is governed by the TAC and we advise you to re-read the TAC to familiarize yourself with the precise details of your rights and obligations in this regard.

  1. Modification of Host Conditions

These Host Conditions can only be modified by SAZON.

SAZON reserves the right to modify these Host Terms at any time. Any modification to this letter will become effective when posted on the SAZON website and you will be notified immediately by email to the email address you have provided in your user account.

By continuing to use the SAZON website as a Host, you agree to be bound by the modified Host Terms.

If you do not accept the modifications that have been made, you will no longer be able to use the SAZÓN website as a Host and you will be obligated to stop offering SAZÓN invitations.

We advise you to print a copy of each version of the Host Terms and Conditions that applies to you for your records.

  1. Capacity to act

You represent and warrant to us that you are over 18 years of age and/or have the legal capacity to contract.

Use of SAZON’s website as a Host is void if done in violation of this charter.

By using the SAZÓN website as a host, you represent and warrant to us that your use of the SAZÓN website, as well as your invitations to SAZÓN, do not violate any applicable laws or regulations.

  1. Exclusion – Withdrawal of access to the SAZÓN website

Without prejudice to its right to claim and/or demand damages from you, SAZÓN reserves the right to withdraw your access to the SAZÓN website, unilaterally and without notice, in case of breach of these Host Conditions.

  1. Applicable Laws

These host conditions are subject to Spanish law.

  1. Competent Jurisdiction – jurisdiction clause

These TAC shall be governed by and construed in accordance with Spanish law and SAZÓN and you agree to submit any dispute, including disputes relating to any non-contractual obligations, which may arise out of, under, or in connection with this agreement to the exclusive jurisdiction of the courts of Madrid Capital.

 GUEST TERMS AND CONDITIONS OF USE 

THIS IS A LENGTHY DOCUMENT THAT CONTAINS IMPORTANT PROVISIONS REGARDING YOUR RIGHTS AND OBLIGATIONS.

BY USING THE SITE, YOU AGREE TO BE BOUND BY:

  • These terms and conditions, and
  • THE TERMS AND CONDITIONS PUBLISHED BY SAZÓN ONLINE, S.L., ON ITS WEBSITES AT www.sazonthefolkcook.com its SUBDOMAGES, and ON SAZÓN’S MOBILE APP.

THE TERMS AND CONDITIONS ARE COLLECTIVELY REFERRED TO AS THE MASTER AGREEMENT. WE ADVISE YOU TO PRINT A COPY OF THE MASTER AGREEMENT FOR YOUR RECORDS.

  1. Binding power of this document and the Framework Agreement

SAZÓN ONLINE, S.L., (hereinafter “SAZÓN”) a company incorporated under Spanish law, with registered office at Calle Recogidas number 27, 6th Floor, C.P. 18.005, with CIF number B-67847681, and constituted by public deed executed before the Notary Public of Granada D. Gonzalo López Escribano on December 2, 2021, with the number 2756 of his protocol, and registered in the Mercantile Registry nº4 of Granada, in Volume 1.783, Folio 25, Page GR-57308, Inscription 1 on December 17, 2021.

SAZÓN is a collaborative platform that provides an online platform that connects hosts, who want to offer gastronomic experiences, to guests who seek immersion in the gastronomic culture of the city they are visiting or any user who wants to enjoy the gastronomic experience that the Host offers (hereinafter, the “Experiences”).

SAZÓN’s services are offered through its web sites www.sazonthefolkcook.com and its SUBDOMAGES and ON SAZÓN’S MOBILE APP, (hereinafter, the “Platform”).

SAZÓN, as a collaborative platform, does not participate in the contractual relationship that may be established between Hosts and Guests, limiting its activity to intermediation services between them.

SAZÓN in order to try to improve the experience between hosts and guests, will provide a series of recommendations, which do not imply any legal obligation with respect to the experience offered by the Host, these recommendations are not mandatory for the Host, but they will help the experience.

The Guest must accept the box and at the end of these terms and conditions to demonstrate acceptance of these terms and conditions:

– You agree to be bound by these terms and conditions which constitute a contract between you and SAZON (the “Guest Terms”);

– You agree to be bound by the terms and conditions of the STRIPE CONNECT payment platform, prepared by STRIPE CONNECT, AND which constitute a contract between you and STRIPE CONNECT (“STRIPE Terms and Conditions”).

The Platform Terms and Conditions and the Guest Terms and Conditions form a contractual whole by which the User is bound to use the SAZÓN website as a Guest.

In case of contradiction between a clause of the Platform Terms and Conditions and a clause of the Guest Terms and Conditions, the clause of the Guest Terms and Conditions shall prevail.

If you do not agree to be bound by the Guest Terms, you may not use the SAZÓN website as a Guest.

  1. Purpose of the Guest Conditions

The Guest Terms are intended to regulate more specifically your rights and obligations should you choose to use the “Brokerage Service” (as the term is defined in the Platform Terms and Conditions, hereinafter “TYC”) as a Guest.

  1. Possession of a user account

To become a Guest, you must first create a “User Account” (as that term is defined in the “TAC”) and complete it by providing, at a minimum, the following mandatory information:

– Your date of birth.

– Your gender.

– Your exact mailing address.

– A profile picture that represents you.

– Your nationality.

– Languages spoken.

The creation of a User Account automatically includes the creation of an “Account” with the STRIPE CONNECT payment platform, as stated in the STRIPE CONNECT Terms and Conditions.

We advise you to read the STRIPE CONNECT Master Agreement and Terms and Conditions for more information on this topic.

You agree to provide a profile picture that represents you to the exclusion of any other person. By uploading such photograph, you warrant to SAZÓN that it does not infringe any intellectual property rights belonging to a third party and that you expressly authorize SAZÓN to use your image, granting a license to use under the conditions set forth in the “TAC”.

The Guest agrees to provide complete, accurate and truthful information and to keep it permanently updated.

3.1 SAZON Invitation Offers

SAZON Invitations (as defined in the “TAC”) that are posted on the SAZON Websites are offered by the Hosts (as defined in the “TAC”). Before accepting an invitation from SAZÓN, you should read these terms and conditions carefully and contact the Host if you have any questions. Do not accept any SAZÓN invitation if you have any doubts or questions. We advise you to read these “TAC” to know in detail how our commission is calculated, the payment methods we use and the amount requested by the Host.

  1. Your obligations as a guest

4.1. Principles of openness, respect, tolerance and non-discrimination

The Dining Experience (as the term is defined in the “TYC”) is designed to facilitate your meeting with a person or persons of different backgrounds and cultures during a meal provided by a Host. Through this service you may visit the home of a Guest who has chosen a shared experience, possibly in the presence of other Guests. You agree to respect and be tolerant of your Host and other Guests and their respective cultures. You agree not to have discriminatory attitudes. You agree to respect the rules of your Host’s home when asked to do so by your Host. The list of rules to be respected is not a closed list and must be complied with, but in no case should these rules be detrimental to your dignity or integrity.

4.2. Your obligation to respect the hospitality offered to you.

The most important quality in a Guest is to respect the hospitality that the Host offers. You agree not to enter any room to which you have not been shown by the Host, it is expressly forbidden to enter any room without prior invitation from your Host. You agree not to interfere with or cause damage to your Host’s property, in particular your personal belongings which you must not move without prior invitation from your Host. You agree to accept and respect the presence of other persons on the premises, such as family members, friends of your Host and other Guests. You agree to accept and respect the presence of animals as described, if any, on the accepted SAZON Invitation. You represent and warrant that you are not allergic to these animals. You agree not to damage the facilities to which you have been invited by your Host, nor the building, nor the furniture in or around them.

4.3. Your acceptance of the event you have booked.

You agree to notify your Host in advance, when accepting a SAZÓN Invitation, thoroughly and truthfully, of any foods or beverages to which you may be allergic and/or which you may refuse for any reason (reasons which you are not required to justify). You agree not to accept an invitation from SAZON without obtaining prior confirmation from your host that your meal is free of such foods and/or beverages. In the event that you accept a SAZÓN Invitation without having obtained prior confirmation from your Host, or with knowledge of the presence in the composition of the meals offered of one or more of these foods and/or beverages, then the amount requested by the Host and our commission, including taxes, will remain payable. You may not request the substitution of one dish for another and shall eat and drink the food and beverages offered to you at your own risk. You warrant to us in this regard that we cannot in any way be held liable in such a circumstance.

4.4. Your obligation to leave your Host once the invitation and the dining experience is over

The invitation and dining experience must not last more than four hours. We automatically and without discrimination reject any SAZÓN Invitation with an estimated duration of more than four hours. You agree to leave the premises at the request of your Host and, in any event, upon expiration of the maximum estimated duration of the SAZÓN Invitation, as indicated by the Host on the SAZÓN Website. In no event will we be liable in the event that you do not respect this obligation. You agree to assume personal liability in the event of a claim by a third party or your Host in the event that you do not respect this obligation. You also guarantee us against any claim by a third party or your Host in this respect.

4.5. Respect for neighbors and other members of your host’s household.

You agree to respect your Host’s neighbors and to refrain from annoying or harmful behavior. In particular, you must refrain from causing noise nuisance to neighbors during an invitation from SAZÓN. SAZÓN will in no event be liable in the event that you do not respect this obligation. You agree to assume personal liability in the event of a claim by a third party in the event of a complaint. You also guarantee the indemnity of SAZÓN against any claim by a third party in this regard.

4.6. Respect for the contract you are accepting

The definition and publication on the SAZÓN website of a SAZÓN Invitation constitutes a pre-contractual offer. If you are interested in a SAZÓN offer made by means of a SAZÓN Invitation, you may contact the Host to see if they will accept you as a Guest. If the Host accepts you as a Guest, the pre-contractual offer will be converted into a contractual offer. In case of acceptance of your contractual offer before the date stated in the offered SAZON Invitation (the “Deadline”), a contract will be concluded between you and the Host (hereinafter referred to as the “Guest-Host Contract”). In the event that you do not accept your contractual offer prior to the Deadline, it will automatically become null and void. In any case, your Host’s offer will be closed early as soon as the number of Guests who have accepted the SAZÓN Invitation is equal to the established maximum. The Host Contract is made between the Host and you, without SAZÓN participating in it, limiting its activity to the mere intermediation between the parties. The terms and conditions of this Guest-Host Agreement are constituted by the terms and conditions defined in the SAZÓN Invitation, as well as, if applicable, by the terms and conditions that you have verbally agreed with your Host, regardless of whether these agreements have been made through the SAZÓN website or not. You agree to abide by the terms and conditions of this Guest-Host Agreement.

In the event that you do not attend SAZÓN’s invitation on the agreed date and time, the total amount payable by the guest, as well as our commission, including taxes, will remain at your expense and will be paid to your Host and SAZÓN. In the event of any dispute between you and your Host due to a breach of your contractual obligations by one of these parties, SAZON shall not be liable in any event. In the unlikely event that SAZÓN’s liability is challenged by your Host, or by one or more of the other Guests, or by a third party due to your breach of the Guest-Host Contract, you agree to indemnify SAZÓN for any damages you may suffer as a result (damage to the company’s image, financial damage, etc.).

4.7. Respect the regulations that apply to it

We advise you to familiarize yourself with the regulations, whether fiscal, administrative or of any other nature, that may apply to you. You agree, where applicable, to comply with any regulations governing the premises where a SAZÓN Invitation takes place.

4.8 You may not pass on any commission, nor offer discounts or refunds. You will pay only through the SAZÓN platform.

4.9 You may not approach SAZÓN Hosts with any offer that is not related to your SAZÓN event request. Any attempt to circumvent SAZÓN’s intermediation is strictly prohibited and your account will be immediately deactivated.

  1. Liability – Insurance

In no event will we be liable in the event that you do not respect all or any of the above obligations. You agree that any claim by your Host, or other Guests, will be assumed personally, leaving SAZÓN harmless.

If you do not respect your obligations, you warrant to SAZON that you will assume your liability for the claims of your Host and/or other Guests, SAZON as an intermediary platform will not be liable for any damage or injury resulting from your invitation from SAZON.

  1. Risks related to guest status

You acknowledge and agree that being a Guest entails certain risks and in particular, without this list being exhaustive, the risk that your Host and/or one of the other Guests may break or damage objects of your property; the risk that your Host and/or one of the other Guests may be ill and infect you; the risk that your Host and/or one of the other Guests may disclose and/or use the personal information you have communicated to you, for purposes other than the SAZÓN Invitation. In no event shall SAZÓN be liable for any such damages. You agree not to go to your Host’s home in the event that you may risk infecting your Host and/or other Guests and agree that the amount requested by your Host and our Commission, including taxes, will not be refunded to you.

  1. Photographs published by the host in the SAZÓN Invitation.

You acknowledge that the photographs posted by the Host may not represent the dining experience you will be offered during the SAZON Invitation.

Your Host must obtain your written permission to use any photographs taken during the dining experience, you are under no obligation to grant such permission.

  1. Modification of the Guest’s Conditions

These Guest Terms and Conditions are a membership agreement that can only be modified by SAZON. SAZON reserves the right to modify these terms and conditions at any time. Any modification to this letter will become effective when posted on the SAZÓN website and you will be notified immediately by email to the email address you have provided in your user account. By continuing to use the SAZÓN website as a guest, you agree to be bound by the modified Guest Terms. If you do not accept the modifications made, you will no longer be able to use the SAZÓN website as a guest and you will be required to stop accepting invitations from SAZÓN. We advise you to print a copy of each version of the Guest Charter that applies to you for your records. To ensure that you are fully informed, the date of application of the Guest Terms and Conditions shown at the top of the document.

  1. Capacity to act

You represent and warrant to us that you are a person over 18 years of age and/or legally capable of contracting. Your use of the SAZÓN website as a guest is void if done in violation of this requirement. By using the SAZÓN website as a guest, you represent and warrant to us that your use of the SAZÓN website, as well as your acceptance of SAZÓN invitations, does not violate any applicable law or regulation.

  1. Exclusion – Withdrawal of access to the SAZÓN website
